1. Parties
“Seller” is Salvage Motors LLC, 1117 State Street, Unit 4, Santa Barbara, CA 93101, Arkansas Dealer License M-13632. “Buyer” is the person or entity named on the Bill of Sale. “Autozilla” is Sarazina World, Ouca, Portugal, Seller’s affiliate that sources and inspects vehicles in Europe on Seller’s behalf. Autozilla is not a party to the sale.
2. The vehicle
2.1. Every vehicle sold is at least 25 years old from its month of manufacture at the date of US entry, and is imported under 49 CFR 591.5(i) and 40 CFR 85.1511. Seller verifies the month of manufacture before purchase and warrants only that the vehicle will be eligible for entry under those provisions on its planned entry date.
2.2. Specifications, mileage, history and condition are stated to the best of Seller’s knowledge from the pre-shipment inspection and the documents available. Mileage on vehicles of this age cannot be certified. Buyer acknowledges that a 25-year-old vehicle may have faults not detected during inspection.
3. As-is sale; no warranty
3.1. Every vehicle is sold AS-IS, WHERE-IS, WITH ALL FAULTS. Seller makes no warranty, express or implied, including any implied warranty of merchantability or fitness for a particular purpose, except the eligibility statement in 2.1.
3.2. The pre-shipment inspection report, photos and video are provided for Buyer’s information. They are not a warranty of condition. Buyer may arrange an independent inspection at Autozilla before paying the balance, at Buyer’s cost.
3.3. Seller’s total liability under any sale is limited to the amount Buyer paid for the vehicle.
4. Price
4.1. The listed price is a “landed price” to the US port named on the Bill of Sale. It includes the vehicle, European export formalities, transport to the European port, ocean freight, all-risk marine cargo insurance at the purchase price, US customs duty, customs broker fees, US port handling, documentation fees, Merchandise Processing Fee and Harbor Maintenance Fee.
4.2. The landed price does not include: inland transport from the port, state or local sales or use tax, title and registration fees, storage charges after the free period at the port, or any cost of state-specific compliance (including California CARB certification).
4.3. Customs duty is included at the rate Seller reasonably anticipates at the time of sale. If the applicable duty rate at the date of entry differs from the rate used, the difference is charged to or credited to Buyer, documented by the CBP Form 7501. Seller will notify Buyer of any known change before the vehicle ships.
5. Deposit
5.1. A deposit reserves the vehicle: $2,000 for a landed price under $30,000; $3,000 from $30,000 to $60,000; $5,000 above $60,000. Custom orders carry a research deposit of $500 or $1,000, credited against the purchase deposit.
5.2. The purchase deposit is fully refundable if Buyer cancels in writing within 7 calendar days of payment. After 7 days the deposit is non-refundable, except as provided in 5.3 and 9.
5.3. The deposit is refunded in full if Seller cannot deliver the inspection report within 10 business days, if the inspection reveals that the vehicle is materially different from the listing, or if Seller determines the vehicle is not eligible for entry.
5.4. A research deposit on a custom order is refunded if Seller finds no vehicle meeting Buyer’s written brief within 90 days, and retained if Seller presents a vehicle meeting the brief and Buyer declines.
6. Payment
6.1. The balance of the landed price is due by wire transfer within 7 calendar days of Buyer’s signature of the Bill of Sale. Seller does not accept cards, payment apps, cryptocurrency or cash.
6.2. If the balance is not received within 7 days, Seller may cancel the sale, retain the deposit as liquidated damages and re-list the vehicle.
6.3. Seller’s bank details are provided by email from a @usautozilla.com address and confirmed by phone on request. Seller never changes bank details by email. Buyer bears the risk of wiring funds to any account not confirmed by phone with Seller.
7. Shipping and delivery
7.1. Seller arranges export from Europe and ocean freight to the named port. Estimated delivery is 6 to 10 weeks from receipt of the balance. Delivery estimates are not guaranteed. Vessel schedules, port congestion, customs examinations and weather can extend them. Delay is not grounds for cancellation or refund unless it exceeds 120 days from receipt of the balance and is not caused by force majeure.
7.2. Risk of loss passes to Buyer on release of the vehicle at the US port. Until then the vehicle is covered by all-risk marine insurance for the purchase price; Seller handles any claim.
7.3. Buyer collects the vehicle within 5 business days of notice of release, or arranges inland transport through Seller or independently. Storage charges after the free period are Buyer’s.
7.4. Inland transport arranged through Seller is a pass-through of the carrier’s price. The carrier, not Seller, is responsible for damage in inland transit; Seller will assist with any claim.
8. Title and registration
8.1. Seller delivers to Buyer: a Bill of Sale and title from Salvage Motors LLC, the stamped CBP Form 7501, NHTSA Form HS-7, EPA Form 3520-1, the European registration document and the bill of lading.
8.2. Registration of the vehicle in Buyer’s state is Buyer’s responsibility. Seller does not warrant that any state will register the vehicle, or the time or cost of doing so. Buyer is responsible for confirming requirements with their state before purchase.
8.3. California. Vehicles manufactured after 1975 require California Air Resources Board certification before registration in California when imported directly. Seller does not provide this and does not guarantee California registration for any vehicle built after 1975. Buyer who intends to register in California acknowledges this at purchase.
9. Cancellation by Seller
Seller may cancel a sale and refund all amounts paid, without further liability, if the vehicle is lost or damaged before shipment, if the vehicle is found ineligible for entry, if the European seller fails to deliver, or if any law or sanction prevents export or import.
10. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including port strikes, vessel breakdown, customs holds, government action, changes in tariff law, war, epidemic or natural disaster. Delivery dates extend by the duration of the event. If the event lasts more than 180 days either party may cancel and Seller will refund amounts paid less costs already incurred on Buyer’s behalf and documented.
11. Buyer’s representations
Buyer is at least 18, is purchasing for personal or business use and not for re-export, has read the vehicle listing and inspection report, and has confirmed their state’s registration requirements.
12. Governing law and disputes
These Terms and every sale are governed by the laws of the State of Arkansas, without regard to conflict-of-law rules. Any dispute is brought in the state or federal courts located in Arkansas, and both parties consent to that jurisdiction. Before filing, the parties will attempt in good faith to resolve the dispute by direct discussion for 30 days.
13. Entire agreement
The Bill of Sale, the vehicle listing as of the deposit date, the inspection report and these Terms are the entire agreement. Oral statements are not part of it. If any clause is unenforceable the rest stands.
